Terms of Service
BASE is AI-enabled software for organizing information, preparing tasks, and assisting with user-directed workflows. You remain responsible for your data, decisions, instructions, and use of the service.
1. Who provides BASE
BASE AI is operated by TRADE ESTATE SE, Czech Republic. These Terms govern access to and use of the BASE AI application, website, agents, subscriptions, beta features, calls, documents, integrations, and related services. Questions about these Terms can be sent to support@base-ai.app.
2. Acceptance of these Terms
- By creating an account, using BASE, starting a trial, buying a subscription, using a demo account, or using any agent feature, you agree to these Terms.
- If you use BASE for a company, organization, client, family member, or another person, you confirm that you have authority and permission to do so.
- If you do not agree with these Terms, you must not use BASE.
- Additional terms may apply to payment providers, app stores, AI providers, telephony providers, or integrations. Those third-party terms apply directly between you and the relevant provider where applicable.
3. What BASE is and is not
- BASE is a software interface and orchestration layer that helps users work with AI, documents, tasks, calls, notes, and personal or business information.
- BASE does not act as your doctor, lawyer, accountant, tax advisor, financial advisor, investment advisor, bank, insurer, therapist, employment advisor, emergency service, or regulated professional service.
- BASE does not make legally binding decisions for you and does not guarantee that AI outputs are correct, complete, safe, current, or suitable for your situation.
- You are responsible for deciding whether to rely on, edit, send, publish, file, execute, or ignore any output, suggestion, summary, call script, document analysis, wellness note, finance summary, or task plan.
4. User responsibility
- You are responsible for your account, instructions, prompts, uploaded files, contacts, call targets, messages, data, permissions, and decisions.
- You must review all AI outputs before using them for important, external, legal, medical, financial, tax, employment, safety, travel, contractual, or business purposes.
- You must not treat BASE outputs as professional advice, legal opinions, medical diagnosis, tax filing advice, investment recommendations, financial guarantees, emergency instructions, or official records.
- You are responsible for maintaining independent copies of important documents, records, contracts, receipts, health information, financial records, and business files.
- You are responsible for checking laws, deadlines, filing obligations, consent rules, call recording rules, consumer obligations, tax obligations, and professional duties that apply to your use.
5. AI limitations and no reliance guarantee
- AI systems can hallucinate, omit facts, misunderstand context, overgeneralize, generate outdated information, or produce confident but incorrect answers.
- AI outputs may be affected by provider outages, model changes, language limitations, user instructions, incomplete data, corrupted files, OCR errors, transcription errors, or ambiguous prompts.
- BASE may route tasks to different models or providers depending on availability, cost control, safety, product configuration, and feature type.
- BASE does not guarantee that any AI output will meet a professional standard, pass legal review, satisfy a regulator, be accepted by a public authority, or produce a specific financial, health, legal, tax, or business outcome.
- You must use human review and qualified professional advice where the matter is important or regulated.
6. Documents, finance, wellness, and sensitive data
- Document extraction, receipt recognition, financial categorization, wellness summaries, and similar features are assistive only and may contain errors.
- You are responsible for checking extracted amounts, dates, names, invoice numbers, tax categories, health values, medication names, symptoms, and other sensitive details before using them.
- BASE does not provide tax filing, accounting certification, audit assurance, medical diagnosis, treatment plans, insurance advice, or regulated financial advice.
- You must not upload third-party confidential, health, biometric, financial, employment, child-related, or legally protected data unless you have a lawful basis and permission to process it.
- If you use BASE for business purposes and upload personal data about other people, you are responsible for giving required notices and obtaining required permissions under applicable privacy laws.
7. Action Agent, calls, and communications
- Action Agent may help prepare messages, emails, and calls, and may use third-party voice, telephony, AI, and transcription providers when you choose to use call features.
- You are responsible for the legality, accuracy, tone, content, recipient choice, timing, purpose, and consequences of any call, email, message, or communication initiated through BASE.
- You must have all required consent to call, message, record, transcribe, process, or store information about call participants, including consent required by the laws of the caller, recipient, and relevant countries.
- You must not use BASE for spam, harassment, impersonation, fraud, debt collection abuse, emergency calls, political manipulation, unlawful marketing, or calls to premium-rate, sanctioned, restricted, or abusive destinations.
- Caller ID name display, number reputation, delivery, answer rate, call quality, and carrier routing are controlled by telecom networks and third-party providers. BASE cannot guarantee how a phone number appears in every country or device.
- Call minutes may be limited, blocked, shortened, or refused for cost control, abuse prevention, provider restrictions, sanctions compliance, or insufficient balance.
8. Accounts and security
- You must provide accurate account information and keep your login credentials secure.
- You are responsible for activity under your account unless caused by BASE's breach of legal duties that cannot be excluded.
- You must notify BASE promptly if you suspect unauthorized access, credential compromise, or misuse.
- BASE may require verification, rate limits, password reset, session revocation, or additional controls to protect accounts and the service.
9. Acceptable use
- You must use BASE only for lawful personal, household, professional, or business administration tasks.
- You must not use BASE to break the law, violate rights, bypass platform restrictions, reverse engineer the service, scrape at scale, interfere with systems, upload malware, test security without permission, or overload the service.
- You must not use BASE to generate or facilitate illegal instructions, fraud, impersonation, harassment, exploitation, spam, surveillance, credential theft, discrimination, self-harm encouragement, or harmful conduct.
- You must not use BASE in high-risk or regulated decision-making where errors could materially affect legal status, employment, credit, education, healthcare, housing, insurance, law enforcement, migration, public benefits, or safety unless you have implemented all required legal and human-review controls.
- BASE may suspend, limit, or terminate accounts that create legal, security, cost, provider, abuse, payment, or operational risk.
10. Beta features
- BASE beta is provided for early access, testing, feedback, and limited production use at your own discretion.
- Beta features may be incomplete, unstable, interrupted, inaccurate, delayed, unavailable, or changed without notice.
- During beta, features, limits, agents, pricing, integrations, minutes, model routing, and data flows may change as the product develops.
- You should not rely on beta features as your only system for critical, urgent, regulated, or time-sensitive work.
- Demo and partner accounts may contain sample data and may be changed, reset, limited, or removed.
11. Subscriptions, trial, and renewal
- BASE Beta may include a 14-day free trial when offered at checkout.
- If you do not cancel before the trial ends, the subscription renews automatically using the billing period selected at checkout.
- Monthly BASE Beta is planned at EUR 15 per month.
- Annual BASE Beta is planned at EUR 84 per year, equivalent to EUR 7 per month when paid yearly.
- BASE Beta includes the core BASE agents, subject to fair-use limits, provider limits, abuse controls, technical limits, and feature availability.
- Taxes, currency conversion, payment-provider fees, app-store rules, or country-specific charges may affect the final amount shown at checkout.
12. Usage limits, cost controls, and Power Pack
- BASE may apply daily, monthly, onboarding, technical, safety, anti-abuse, or provider-cost limits to AI requests, document processing, storage, calls, and other features.
- New accounts may receive higher onboarding limits for the first 72 hours so users can set up their workspace.
- Power Pack may be offered as an add-on for heavier usage, planned at EUR 12 per month or EUR 120 per year.
- BASE may slow, queue, refuse, pause, or require upgrade/top-up when usage risks service quality, security, provider cost spikes, platform abuse, or excessive consumption.
- Limits are part of the service design and do not create a guarantee that every request, file, call, or workflow will be processed.
13. Call minutes and top-ups
- BASE Beta includes a one-time promotional 2 minutes of Action Agent calls at the start of eligible beta access.
- Additional call minutes are purchased separately as top-up packs.
- Planned beta top-up packs are 10 minutes for EUR 3, 30 minutes for EUR 8, 60 minutes for EUR 14, and 120 minutes for EUR 24.
- Purchased minutes may be subject to validity periods, country restrictions, provider restrictions, fraud controls, sanctions controls, and fair-use rules shown at checkout or in the app.
- BASE may refuse, block, shorten, or stop calls where the destination, number pattern, account behavior, balance, provider rule, or legal risk requires it.
14. Payments, cancellation, refunds, and withdrawal
- Payments are processed by approved payment providers such as Stripe or app-store payment systems where required.
- You can cancel future renewal through the billing portal, app-store subscription controls, or support channel where available.
- Cancellation stops future renewal but does not automatically refund past charges unless required by law, required by the payment platform, or expressly stated at checkout.
- Consumers in the European Union may have statutory withdrawal rights for distance contracts. Where digital services or digital content begin immediately with your consent, withdrawal rights may be limited as permitted by applicable law.
- Promotional pricing, beta pricing, free trials, coupons, and discounts may be limited to eligible users, countries, channels, and time periods.
- Failure to pay, chargeback abuse, payment fraud, or payment-provider risk flags may lead to suspension, downgrade, or termination.
15. User content and license to operate the service
- You keep ownership of the files, messages, notes, contacts, records, prompts, and other content you add to BASE.
- You grant BASE a limited, worldwide, non-exclusive, revocable where applicable license to host, store, copy, transmit, process, analyze, display, and use your content only as needed to provide, secure, support, maintain, and improve the service.
- You confirm that you have the rights, permissions, and lawful basis required to upload and process your content through BASE and its subprocessors.
- You are responsible for the accuracy, legality, reliability, and appropriateness of your content and instructions.
- BASE may remove or restrict content where required to protect users, comply with law, follow provider rules, or prevent abuse.
16. Privacy and data processing
Personal data is processed as described in the Privacy Policy. The Privacy Policy explains categories of data, purposes, legal bases, retention, user rights, cookies, AI processing, calls, and subprocessors. By using BASE, you acknowledge that the service depends on selected infrastructure, AI, payment, email, analytics, storage, and voice providers.
17. Third-party providers and integrations
- BASE depends on third-party providers for AI models, hosting, database, storage, email, payments, monitoring, analytics, calls, and other infrastructure.
- BASE is not responsible for third-party outages, carrier routing, payment-provider decisions, AI provider changes, app-store rules, model behavior, telecom restrictions, or integration failures outside BASE's reasonable control.
- Third-party services may have their own terms, privacy notices, limits, fees, and availability rules.
- BASE may change providers, model routes, infrastructure, or integrations to improve the service, reduce risk, control cost, or comply with law.
18. No warranties beyond mandatory law
To the maximum extent permitted by applicable law, BASE is provided on an "as is" and "as available" basis. BASE does not promise that the service will be uninterrupted, error-free, secure against every possible threat, free from data loss, compatible with every device, accepted by every third party, or suitable for any particular purpose. Nothing in these Terms limits warranties or consumer rights that cannot legally be excluded.
19. Limitation of liability
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct, fraud, or other non-excludable legal obligations.
- To the maximum extent permitted by law, BASE is not liable for indirect, incidental, special, consequential, punitive, exemplary, or business-loss damages, including lost profits, lost revenue, lost opportunity, loss of goodwill, loss of data, business interruption, reputational harm, or costs of substitute services.
- To the maximum extent permitted by law, BASE is not liable for losses caused by user instructions, user content, AI output errors, third-party provider failures, telecom network behavior, payment-provider actions, unsupported use, unlawful use, or reliance on outputs without independent review.
- For business users, to the maximum extent permitted by law, BASE's total aggregate liability for all claims relating to the service is limited to the amount paid by that business user to BASE for the service during the three months before the event giving rise to the claim.
- For consumers, statutory consumer rights and mandatory remedies remain available where they cannot be waived by contract.
20. Indemnity for business users
If you use BASE for a business, organization, client, or professional purpose, you agree to defend, indemnify, and hold BASE harmless from claims, damages, costs, liabilities, penalties, and expenses arising from your content, instructions, unlawful use, third-party data, lack of required consent, breach of these Terms, violation of law, or use of BASE outputs in your products, services, communications, or decisions. This indemnity applies only to the extent permitted by applicable law.
21. Suspension and termination
- BASE may suspend, limit, or terminate access if an account creates legal, security, cost, provider, abuse, payment, compliance, or operational risk.
- BASE may also suspend features during incidents, provider outages, suspected compromise, excessive usage, sanctions checks, or maintenance.
- Where practical and lawful, BASE will try to give notice and a path to resolve the issue.
- You may stop using BASE at any time and may request account deletion through available controls.
22. Changes to the service and Terms
- BASE may update the service, agents, pricing, limits, features, providers, and these Terms from time to time.
- Material changes will be communicated where required by law or where the change materially affects paid use.
- Continued use after the effective date of updated Terms means you accept the updated Terms, except where applicable law requires another form of consent.
23. Governing law and disputes
- These Terms are intended to be governed by the laws of the Czech Republic, without prejudice to mandatory consumer protections that apply in your country of residence.
- If you are a consumer in the European Union, you may have mandatory rights to bring claims or receive protections in your local jurisdiction that cannot be removed by these Terms.
- Before starting a formal dispute, you agree to contact support@base-ai.app so both sides can try to resolve the issue informally.
- If any part of these Terms is found unenforceable, the remaining parts continue to apply to the maximum extent permitted by law.
24. Consumer rights carve-out
These Terms are designed to allocate responsibility clearly, but they do not remove rights that consumers cannot waive under applicable law. If a mandatory consumer protection rule conflicts with these Terms, the mandatory rule controls only to the extent of the conflict.
